Commissions and Fees
FEES: There are no fees for listing on this website.
SELLER’S COMMISSION: A seller normally pays a commission of 20% of the agree-upon price of a sale. If the item does not sell, there is no fee.
MINIMUM COMMISSION (Small Sales): If a sale is for less than $ 250, there is a minimum commission of $100.

Loading and Shipping
All sales are FOB location. The SELLER IS NORMALLY RESPONSIBLE FOR LOADING THE MERCHANDISE ON THE BUYER’S TRUCK, unless other terms are noted in the item description. The buyer is entirely responsible for arranging and paying for shipping. Foodequipmentsource.com, bears no responsibility for shipping. Ownership of the merchandise normally transfers to the buyer upon loading. If crating is necessary, the buyer is normally responsible for arranging and paying for this. In the event that the shipping company invoices, and otherwise seeks payment of shipping charges from Foodequipmentsource.com, Buyer shall indemnify and hold Foodequipmentsource.com harmless from any and all such shipping charges incurred by Foodequipmentsource.com, This indemnification shall include all attorney’s fees, court costs, expenses, losses, and other monies paid as a result of the defense of such shipping charges or any efforts and costs incurred in enforcing the terms of this indemnification agreement.
Buyer’s Right to Inspect
Sales on this website are SUBJECT TO INSPECTION prior to shipment. If a buyer elects to exercise the right to inspect a 20% REFUNDABLE deposit will be charged. The seller’s location will be revealed after the deposit is received. The buyer will be given a reasonable amount of time to make the inspection. If, upon inspection, the bidder decides to reject the equipment, the deposit will be returned. If the buyer approves of the equipment, the deposit will be applied toward the invoice. If a buyer agrees to have his purchase shipped to him without prior inspection, it will be deemed that he has waived his right to inspect. ITEMS PURCHASED CANNOT BE RETURNED
Payment
No equipment will be shipped until payment has been received in full. ALL PAYMENTS SHALL BE MADE TO WHYOVERPAY.com. WHYOVERPAY.com acts as an intermediary between the buyer and the seller. Acceptable methods of payment for sales within the United States are: wire transfer, certified check, bank check, or company check with a bank letter of guarantee. For sales outside the United States, only wire transfers will be accepted.
Accuracy of Listings
Machine descriptions and representations as to condition are strictly the opinion of the seller and have not been verified by and are not guaranteed by Foodequipmentsource.com. It is the responsibility of the buyer to verify the accuracy of the listing and the condition of the equipment.
Availability of Equipment
It is possible that an item has become unavailable since it was posted and the seller has not informed us of that fact. Therefore, Foodequipmentsource.com cannot guarantee the availability of any listing.
Liability
Any disputes arising from a transaction or failure to complete a transaction shall be exclusively between the buyer and the seller. Foodequipmentsource.com & Whyoverpay.com assumes no liability for any damages caused to buyers or sellers due to failure to complete a transaction. If a seller refuses or is unable to complete a transaction, any money paid by the buyer shall be returned in full and Foodequipmentsource.com shall have no further liability.
Foodequipmentsource.com & Whyoverpay.com – assumes no liability with respect to the equipment sold or for any loss or damage to any equipment during shipment. The buyer agrees not to refuse merchandise due to damage during shipping. Shipping damage is strictly an issue between the buyer and his shipping company. Foodequipmentsource.com also assumes no responsibility towards and will be held harmless for any incorrect information on any shipping document.
Buyer agrees to defend, indemnify and hold harmless Foodequipmentsource.com & Whyoverpay.com from and against all suits, claims, costs and expenses for personal injury, death or property damage arising from the ownership or use of any equipment purchased on this website
Any agreement concerning the sale of any item on this website shall be defined by a written invoice which shall represent the entire agreement between the parties. Any oral representations or modifications to the invoice shall be of no force or effect.
All sales shall be deemed to have been entered in the State of Connecticut, and any questions concerning their validity, interpretation, or performance of terms or provisions or of any rights or obligations of the parties hereto, shall be governed by and resolved in accordance with the laws of the State of Connecticut.
If any action at law or in equity, including an action for declaratory judgment, is brought to enforce or interpret the provisions of any sale, Foodequipmentsource.com & Whyoverpay.com shall be entitled to recover its reasonable attorney’s fees from the other party, which fees may be set by the court in the trial or appeal of such action or may be enforced in a separate action brought for that purpose, and which said fees will be in addition to any other relief which may be awarded.
Terms for Sellers

Buyer’s Right to Inspect
Sales on this website are normally SUBJECT TO INSPECTION, unless otherwise noted in the item description. The successful buyer has (5) working days from the time of the seller’s acknowledgement of acceptance of his offer to exercise his right to inspect and must make his final decision within that time or the right is deemed waived. With the exception of the buyer’s right to refuse the merchandise upon inspection, all sales are final.
Listings
Listing duration is normally 180 days. If an item does not sell within the 180-day period, the listing can be extended upon mutual agreement between the seller and Foodequipmentsource.com
If a seller discovers an error in a listing he has posted, he should notify Foodequipmentsource.com immediately by email and we will edit the listing for him.
Seller agrees to notify Foodequipmentsource.com immediately if any items listed by him become unavailable.
The seller affirms that he is the owner of the merchandise he lists on this site or that he has been authorized by the owner to sell it, that there are no liens or encumbrances on the merchandise and that he can provide free and clear title to a buyer.
Foodequipmentsource.com reserves the right to delete or edit any listing at any time
Seller’s Obligation
If the seller sets an Asking Price, he agrees to sell the item immediately to any buyer who offers that that amount, the asking price.
If the seller sets a Reserve Price, he agrees to sell the item upon the 180-day listing expiration date to the high offer if the offer meets or exceeds the Reserve Price.
Exclusivity
During the period that the Seller has listed equipment/s for sale with the Foodequipmentsource.com, the Seller has granted the Company an exclusive right to sell the specified quantities listed. All potential purchasers discovering the property through the endeavors of the Company will result in a commission paid to the Company as the procuring cause of sale if said Buyer consummates sale. Seller agrees that any sale of the specified quantities of property during the agreed listing period while it is listed with us will cause a commission to be earned by Foodequipmentsource.com.
NON-CIRCUMVENTION
Users agree not to negotiate, communicate, or transmit any information of any kind with any other Registered User (whether or not the User has placed a offer) in an attempt to complete the sale of assets and specified quantities listed in the site through a means outside of the Company’s online site (a “Circumventing Transaction”). In the event a Seller completes a Circumventing Transaction within 12 months following the expiration of a Seller’s listing, Seller understands and agrees that Seller is obligated to immediately remit a success fee to the Company equal to said commission rate of 20% or $495 [whichever is greater] of the final aggregate gross sale price for the assets or merchandise sold in the Circumventing Transaction. This non-circumvention clause shall apply to Users and their principles, agents and representatives, including but not limited to employees, consultants, bankers, attorneys, accountants, assignees, heirs and transferees.
Seller agrees not to sell any item that he has listed on Foodequipmentsource.com DIRECTLY to anyone who found out about the item through this website, whether or not the listing has expired. Going around us in order to avoid paying a commission may result in a lawsuit.
Payment
Foodequipmentsource.com collects payment from the buyer and transfers it, less commission, to the seller. The seller ships the equipment upon payment. THE SELLER AGREES NOT TO ACCEPT ANY PAYMENT DIRECTLY FROM THE BUYER. Seller is solely responsible for any local, state or federal taxes due from the sale
Liability
